1. All instructions given during project have to be adhered to until project completion and delivery.

2. Non-disclosure of Information. Recipient: (a) agrees not to copy, disclose or transfer information which is received from the Discloser and which is identified as information, to any other party; (b) agrees not to announce or disclose to any third party; (I) its participation in these discussions to the extent the information concerns any unannounced products, technology, services, or business transactions.

3. Confidential Information. The Discloser may, during the course of these discussions, reveal certain confidential, proprietary and/or trade secret information concerning products, technology and services, some of which may not have been announced and may have not be generally available. Recipient agrees not to use or exploit the information for any purpose.

4. The Vendor shall deliver or return all relevant materials, data, software, systems and information relating to the services to DIGITAL HUTCH at the time of such notice.

5. Ensure Quality of 100%. Use correct meaning, Context, Industry standard terminology and ensure that there is no text that is missing translation. The tense (present/past) and voice (active/passive) should be as per the original source file.

6. Vendor should check the work thoroughly before submission to DIGITAL HUTCH. DIGITAL HUTCH reserves the right of approval for the work submitted. DIGITAL HUTCH reserves the right to withhold payment if the work is not meeting the standard expectations that are set during project assignment and to offset penalty incurred against any loss, damage, liability or claim it may have against partner (including the cost of a third party engaged to perform non-conforming services) as a result any breach by partner of this WO, SOW, including when goods and services do not meet expected standards.

7. If the work assigned is found to be machine translated or translation, machine voice, transcription and other linguistics service project's with poor or sub-standard quality, the same would not be accepted and DIGITAL HUTCH would not be liable to pay the amount, and will attract 100 % penalty from the vendor on full project value.

8. If the translator discovers discrepancies in connection with the assignment in question, he/she will be obliged to inform DIGITAL HUTCH of this immediately. This may, for example, concern the size and scope of the assignment as well as the quality and other conditions which may affect the translator's ability to carry out the assignment to a level satisfactory to the client.

9. To maintain a professional relationship, DIGITAL HUTCH expects DIGITAL HUTCH vendors to abstain from approaching DIGITAL HUTCH clients.

10. Final Payment-- The normal average payment term is 45 days upon completion of a project.
Please note completion means client acceptance of the final deliverables, not your delivery of files to the project manager.

11. Payment Mode-- Within India (NEFT,Cheque) Outside India (PayPal, Skrill)

12. Final word count will be consider after delivery of Translated document only or as mutually agreed between both parties.

13. Partial submission of files requires on every alternate day or as mutually agreed between both parties.

14. Formatting requires same as source file after translation

15. Only Native Translator/Linguist/Transcribers need to complete the assigned assignment with Good and relevant experience in the subject matter of the source and Target document.

16. Late Delivery Penalties:- 1 hour & up to 3 hours after the agreed upon delivery timeline-15% deduction on full project value, More than 3 & up to 5 hours after the agreed upon delivery timeline - 25 % deduction on full project value, More than 05 hours & less than 10 hours after the agreed upon delivery timeline-50% deduction on full project value,10 hours or more after the agreed upon delivery timeline-No payment will be made.

17. If the vendor accepts our offer, via Email or Skype and void any point of this agreement or step back from the assignment in any point of duration of the assignment will attract 100 % penalty from the vendor on full project value.

18. Harassment in any manner or form on the site, including via e-mail, chat, or by use of obscene or abusive language, is strictly forbidden, Company reserves the right to penalise the vendor in case of abusing language used by the vendor or vendor tries to spoil DIGITAL HUTCH name by spreading wrong information about the company without any solid facts.

19. Taxes will be deducted, as applicable.

20. If you do not accept the rates, delivery date or other conditions, contact us immediately before starting the work.

21. Use of our service is conditioned on the acceptance, without modification, of all terms and conditions of DIGITAL HUTCH. By working with us you represent that you have read and understand the terms and conditions and that you agree to be bound by these terms and conditions as set forth below.

22. If you do not agree with the terms and conditions of DIGITAL HUTCH and do not wish to be bound by them, please do not work with us.

23. The DIGITAL HUTCH reserves the right at its discretion to modify the terms and conditions, By working with us after the posting of any such modification constitutes your agreement to be bound by the terms and conditions as modified.

24. These terms and conditions are governed by and are to be construed in accordance with Indian law. Any disputes shall be subject to the exclusive jurisdiction of Greater Noida, India only.
